Terms & Conditions
Last updated: 6 October 2026
These terms explain the general basis on which Mersham Design Consultancy (“MDC”, “this practice”), operated by Jiten Halai, provides CAD drafting and modelling services, and the terms of use for this website (mershamdesign.co.uk).
Please note: Mersham Design Consultancy is a one-person CAD practice working remotely for engineering, rail, and infrastructure clients. Every engagement is different — scope, deliverables, rates, and specific terms are agreed individually for each contract, project order, or purchase order (“Engagement”), and where a signed Engagement, framework agreement, or a client’s own terms are in place, those terms take priority over this page. This page sets out the default position of this practice where nothing more specific has been agreed.
1. Services
Mersham Design Consultancy provides CAD drafting, modelling (2D/3D), drawing production, and related CAD support — primarily across the bridges, railways, and highways sectors — delivered remotely unless otherwise agreed. This practice works under and with engineers; it is not an engineering design firm and does not act as design author.
2. How an engagement works
- Work typically begins after requirements have been discussed via the Contact form, WhatsApp, or a call, and scope, timescale, and rate/fee have been agreed for that specific piece of work.
- For contract/agency-based placements, the recruiting agency or client’s own contract terms will normally apply.
- For direct engagements, the agreed scope and rate will be confirmed in writing through an agreed channel before chargeable work starts.
- Timescales are estimates based on the information available at the time; they may change if scope, information, or access to client systems (e.g. ProjectWise) changes during the engagement.
3. Fees & invoicing
- Fees are quoted per Engagement and may be charged hourly, daily, or as a fixed project fee, as agreed in advance.
- Invoices are issued monthly in arrears unless the Engagement states otherwise.
- Payment is due within 30 days of the invoice date, by bank transfer, unless a different period is agreed in writing.
- Late payment: this practice reserves the right to charge statutory interest and compensation on overdue invoices in line with the Late Payment of Commercial Debts (Interest) Act 1998.
- Reasonable, pre-agreed expenses (e.g. specific software access required only for your project) may be billed separately where agreed in advance.
4. Cancellation & changes
Either party may end an Engagement with the written notice period agreed for that Engagement (or otherwise with reasonable written notice). Work carried out and expenses reasonably incurred up to the end date will be invoiced as normal. Changes to scope may affect timescale and fees, and will be agreed before proceeding where practical.
5. Deliverables & intellectual property
- Unless otherwise agreed in a specific Engagement, deliverables (drawings, models, and associated files) produced for a client transfer to that client on full payment of the relevant invoice(s).
- Mersham Design Consultancy retains the right to reference completed projects generally (e.g. project name, sector, and a general description) for portfolio and marketing purposes, unless a client asks in writing to keep a specific project confidential — in which case that client or project will not be named publicly.
- Detailed technical drawings, client-issued documents, or confidential project information are not published without the client’s permission.
6. Confidentiality
Client information, drawings, and project data are treated as confidential by this practice, and will not be disclosed to third parties except where required to deliver the agreed work, required by law, or agreed with the client.
7. Liability
Work is carried out with reasonable skill and care in line with relevant industry CAD and drafting standards (e.g. BIM levels, BS 8666 detailing, CAD QA requirements as applicable). Nothing in these terms limits liability for death, personal injury, or fraud caused by negligence. Beyond that, liability of this practice for any single Engagement is limited to the fees paid for that Engagement, unless a specific Engagement agrees otherwise.
8. Insurance
Mersham Design Consultancy holds insurance for this work, from 6 July 2026 to 5 July 2027. Employers’ liability £10,000,000 any one claim, except £5,000,000 for offshore work, terrorism or asbestos. Public liability £2,000,000 any one claim. Products liability £2,000,000 any one claim. Professional indemnity £1,000,000 each and every claim.
